Ministry of Commerce: Decision 99 Approving the Rules of the Ultimate Beneficial Owner

The Minister of Commerce,

based on the powers granted to him by law and after perusal of article 274 of the Companies Law issued by Royal Decree D/132 dated 1 Dhu Al-Hijja 1443 [30 June 2022],

and after perusal of Ministerial Decision 235 dated 13 Sha’ban 1446 [12 February 2025],

and in pursuance of public interest,

hereby decides

First

The Rules of the Ultimate Beneficial Owner are hereby approved in the form attached to this decision.

Second

The Rules of the Ultimate Beneficial Owner referred to in clause First of this decision hereby replace Ministerial Decision 235 dated 13 Sha’ban 1446 [12 February 2025] and repeal all provisions that contradict them.

Third

The Rules of the Ultimate Beneficial Owner attached to this decision must be published in the official gazette, and come into force after 30 days from the date of their publication.

after perusal of the Statute of the Literature, Publishing, and Translation Commission issued by Council of Ministers Decision 1012 dated 27 Dhu Al-Qa’dah 1445 [4 June 2024], regarding the regulation of the licensing of the translation profession,

after perusal of Council of Ministers Decision 178 dated 8 Rabi Al-Awwal 1444 [4 October 2022], regarding the transfer of the mandate of licensing for the professions of industrial consultancy and mining consultancy from the Ministry of Commerce to the Ministry of Industry and Mineral Resources,

after perusal of Council of Ministers Decision 285 dated 5 Rabi Al-Thani 1446 [8 October 2024], regarding the transfer of the mandate for licensing the practice of the management consulting profession for individuals from the Ministry of Commerce to the Ministry of Human Resources and Social Development,

after perusal of Council of Ministers Decision 571 dated 5 Sha’ban 1446 [4 February 2025], regarding the transfer of the mandate for the licensing of financial consultancy for non-securities from the Ministry of Commerce to the Saudi Organization for Chartered and Professional Accountants,

after perusal of Council of Ministers Decision 341 dated 13 Jumada Al-Awwal 1447 [4 November 2025], regarding the transfer of the mandate for the licensing of chemical consultancy from the Ministry of Commerce to the Ministry of Energy,

and after perusal of the Rules Governing Freelance Professions, issued by Minister of Commerce Decision 349 dated 11 Rabi Al-Thani 1442 [26 November 2020],

and in pursuance of public interest,

hereby decides

First

The Governance Regulation for Practising the Activity of Security Consultancy issued by Minister of Commerce Decision 1933 dated 19 Sha’ban 1422 [4 November 2001] is hereby repealed.

Second

The annex provided in the Rules Governing Freelance Professions issued by Minister of Commerce Decision 00349 dated 11 Rabi Al-Thani 1442 [26 November 2020] is hereby amended as follows:

Ministry of Commerce: Decision 87 Amending Article 10 of the Executive Regulation of the Chambers of Commerce Law

The Minister of Commerce,

based on the powers entrusted to him by law,

after perusal of the Law of Chambers of Commerce issued by Royal Decree D/37 dated 22 Rabi Al-Thani 1442 [7 December 2020] and its executive regulation issued by Ministerial Decision 10 dated 11 Muharram 1443 [19 August 2021],

and based on Council of Ministers Decision 161 dated 25 Safar 1447 [19 August 2025], which includes the requirement of the Ministry of Commerce to coordinate with the Ministry of Investment, the Ministry of Industry and Mineral Resources, and the Council of the Federation of Saudi Chambers of Commerce to amend article 10 of the Executive Regulation of the Law of Chambers of Commerce so that the number of members of the board of directors of the chambers of commerce does not exceed 12 members, and their number is not less than 6 members according to the number of participants in each chamber,

and in pursuance of public interest,

hereby decides

First

Article 10 of the Executive Regulation of the Law of Chamber of Commerce is hereby amended to read as follows:

The minister shall determine the number of members of the boards of directors of the chambers according to the number of participants in each chamber, in accordance with the following:

(a) Six members for a chamber with a number of participants from 1 to 50,000.

(b) Nine members for a chamber with a number of participants from 50,001 to 100,000.

(c) 12 members for a chamber with a number of participants exceeding 100,000.

The minister may, in the event that the election of half of the members of the board of directors is approved—based on article 9(1) of the law—amend the number of members of the board of directors of the chamber stipulated in this article.

Second

This decision must be published in the official gazette, and comes into force on the date of its publication, and applies to the formation of the boards of directors of the chambers of commerce after the date of its publication.

Ministry of Commerce: Decision 74 Approving the Amendment to the Executive Regulation of the Executive Regulation of the Precious Metals and Gemstones Law

The Minister of Commerce,

based on the powers entrusted to it by law,

based on article 21 of the Precious Metals and Gemstones Law, as amended by Royal Decree D/87 dated 3 Rabi Al-Thani 1446 [22 October 2024],

and based on the agreement between the Minister of Commerce and the Minister of Industry and Mineral Resources by virtue of the joint minutes dated 16 Rabi Al-Thani 1447 [25 November 2025],

and in pursuance of public interest,

hereby decides

First

The amendment of the Executive Regulation of the Precious Metals and Gemstones Law issued by Ministerial Decision 5111 dated 6 Safar 1440 [22 October 2018] is hereby approved to become in the form attached to this decision.

Second

As an exception to the provisions of article 3 of the regulation, it is permitted—for a period of six months—to display and sell manufactured or imported works before the date of entry into force of the law in which there is a deficiency not exceeding four parts per thousand in the percentage of pure precious metal in gold, silver, and platinum works.

Third

This decision must be published in the official gazette.

and after perusal of the Executive Regulation of the Law of the Profession of Accounting and Auditing issued by Minister of Commerce Decision 00658 dated 14 Dhu Al-Qa’dah 1442 [24 June 2021],

and in pursuance of public interest,

hereby decides

First

Article 6(4) and (5) of the Executive Regulation of the Law of the Profession of Accounting and Auditing issued by Minister of Commerce Decision 00658 dated 14 Dhu Al-Qa’dah 1442 [24 June 2021] are hereby amended as follows:

4 The organization shall review the application that meets all the data and attachments, and the applicant shall pay the fee for the licence, which is determined by the board.

5 The organization shall decide on the application within a period not exceeding 15 working days.

Second

This decision must be published in the official gazette, and comes into force on the date of its publication.

Fifth

This decision must be published in the official gazette, and comes into force on the date of the publication of the Commercial Register Law and the Trade Names Law.

The Chairman of the Board of Directors of the Saudi Standards, Metrology, and Quality Organization,

based on the powers he holds, after perusal of the system of the authority issued by Council of Ministers Decision 216 dated 17 Jumada Al-Thani 1431 [31 May 2010],

after perusal of Royal Decree D/79 dated 6 Rabi Al-Awwal 1446 [9 September 2024], containing the approval of Council of Ministers Decision 202 dated 30 Safar 1446 [3 September 2024], stipulating in clause First the approval of the Measurement and Calibration Law,

based on the provisions of article 16 of the mentioned law that stipulates that the board of directors of the authority shall issue the regulation and technical documents within 90 days from the date of publication of the law in the official gazette, and comes into force from the date of its entry into force.

and based on the Board of Directors of the Saudi Standards, Metrology, and Quality Organization Decision 05/205/2025 at its Meeting 205 dated 9 January 2025 regarding the approval of the executive regulation of the law,

hereby decides

First

The Executive Regulation of the Measurement and Calibration Law is hereby approved in accordance with the form attached to this decision.

Second

The provisions of the technical documents and the costs regulation for measurement and calibration services approved by the board remain in force until they are amended or repealed.

Third

This decision must be published in the official gazette and comes into force from the date of its publication.

Fourth

This decision must be communicated to those concerned for implementation.

Ministry of Commerce: Decision 272 Amending the Executive Regulation of the Law of Chambers of Commerce

The Minister of Commerce,

based on the powers entrusted to him by law,

and after perusal of the Law of Chambers of Commerce issued by Royal Decree D/37 dated 22 Rabi Al-Thani 1442 and its executive regulation issued by Ministerial Decision 00010 dated 11 Muharram 1443 [19 August 2021],

hereby decides

First

Article 44 of the Executive Regulation of the Law of Chambers of Commerce is hereby amended to read as follows:

1․ ‏ The federation of chambers shall prepare the standards for evaluating the performance of the chambers to be approved by the ministry.

2․ ‏ The performance of the chamber must be evaluated by an advisory entity, in accordance with the following:

(a) The federation of chambers shall approve an advisory entity and circulate it to the chambers.

(b) ‏ The advisory entity shall submit the evaluation report on the performance of the chamber to the federation of chambers within a period not exceeding three months from the end of the Gregorian year.

(c) ‏ It is not permitted for the performance of the chamber to be evaluated by a single advisory entity for more than three consecutive years.

3‏. The chamber shall publish the approved evaluation results on the websites of the chamber and federation of chambers.

4 ‏. The minimum results for evaluating the performance of the chamber must be in accordance with article 39(4) of the law and obtaining 60% of the total evaluation score.

Second

The advisory entity shall submit the evaluation report on the performance of the chamber for the year 2024 to the federation of chambers within a period not exceeding 180 days from the date of publication of this decision.

Third

This amendment must be published in the official gazette, and comes into force on the date of its publication.

Ministerial Decision 10708 dated 25 Safar 1439 [14 November 2017] is hereby repealed by the Rules of the Ultimate Beneficial Owner referred to in clause First of this decision.

Third

The Rules of the Ultimate Beneficial Owner attached to this decision must be published in the official gazette, and come into force from 5 Shawwal 1446 corresponding to 3 April 2025.

Ministry of Commerce: Decision 136 Prohibiting the Commercial Use of Emblems and Logos of States as Well as Religious and Sectarian Emblems and Logos

based on the powers entrusted to him by law,

and based on the provisions of the System of the Ministry of Commerce issued by Council of Ministers Decision 66 dated 6 Rabi Al-Thani 1374 [2 December 1954] and its amendments,

and in pursuance of public interest,

hereby decides

First

The commercial use of emblems and logos of states as well as religious and sectarian emblems and logos is hereby prohibited.

Second

The regulatory procedures must be applied in accordance with the provisions of the Penalties Regulations for Municipal Violations against the violating commercial establishments from the date of entry into force of this prohibition.

Third

This decision must be published in the Official Gazette and comes into force 90 days after the date of its publication.
