based on Council of Ministers Decision 92 dated 5 Safar 1442 [22 September 2020] approving the Regulation of Penalties for Municipal Violations,

based on Minister of Municipalities and Housing Decision 4400905854 dated 19 Dhu Al-Qa’dah 1444 [8 June 2023] approving the Schedule of Penalties for Municipal Violations,

based on Minister of Municipalities and Housing Decision 4500550156/1 dated 12 Rajab 1445 [24 January 2024] authorizing to the Minister of Commerce—or whoever he authorizes—some of the powers contained in the Regulation of Penalties for Municipal Violations,

and after perusal of article 3(11) of the Implementing Instructions for the Application of Penalties for Violations Related to the Mandates of the Ministry of Commerce, contained in the Schedule of Penalties for Municipal Violations, issued by Minister of Commerce Decision 13 dated 20 Muharram 1446 [26 July 2024],

and in pursuance of public interest,

hereby decides

First

The Schedule of Penalties for Municipal Violations Related to the Mandates of the Ministry of Commerce is hereby approved, after the inclusion of violations of the sales laws for which no penalty is specified, under Violation 8.1.12, in the form attached.

Second

The Schedule of Penalties for Municipal Violations Related to the Mandates of the Ministry of Commerce in the form attached in clause First of this decision hereby replaces the schedule attached to the executive instructions, issued by Minister of Commerce Decision 13 dated 20 Muharram 1446 [26 July 2024].

Third

This decision must be published in the Official Gazette, and comes into force from the date of its publication.

based on article 11 of the Import Licensing Procedures, issued by Council of Ministers Decision 88 dated 6 Rabi Al-Thani 1423 [17 June 2002], which stipulates that “These procedures, as well as the lists of goods subject to licensing requirements, are amended by a decision of the Minister of Commerce in accordance with the information received from the relevant government entities. These amendments enter into force 30 days after the date of their publication in the Official Gazette”,

after perusal of the Agreement on Import Licensing Procedures contained in Annex A of the Marrakesh Agreement Establishing the World Trade Organization,

after perusal of the Import Licensing Procedures, as amended by the Minister of Commerce Decision 106 dated 7 Rabi Al-Thani 1441 [4 December 2019],

and after perusal of Ministerial Decision 107 dated 7 Rabi Al-Thani 1441 [4 December 2019] regarding the approval of the Import Licensing Manual and its amendments,

hereby decides

First

The Import Licensing Manual is hereby approved in the form attached to this decision.

Second

The Import Licensing Manual referred to in clause First of this decision hereby replaces the Import Licensing Manual issued by Ministerial Decision 107 dated 7 Rabi Al-Thani 1441 [4 December 2019] and its amendments.

Third

The Import Licensing Manual attached to this decision must be published in the Official Gazette, and comes into force after the lapse of 30 (thirty) days from the date of its publication.

Second

A warning on anyone who violates his duty to deposit the financial statements for the financial year 2024 must be imposed.

Third

In the event that the violation of non-deposit of the financial statements is committed for two consecutive fiscal years from the date of this decision and the violation decision for the first fiscal year is considered final, the fine for the second fiscal year is increased by 50%.

Fourth

Notification must be in accordance with the provisions of article 94 of the Executive Regulation of the Companies Law.

Fifth

The decision replaces Ministerial Decision 239 dated 27 Dhu Al-Qa’dah 1445 [4 June 2024], and repeals all provisions in conflict with it.

Sixth

This decision must be published in the official gazette, and comes into force on the date of its publication.

based on article 12 of the Rules of the Ultimate Beneficial Owner issued by Ministerial Decision 99 dated 5 Jumada Al-Thani 1447 [26 November 2025],

First

Anyone who commits the violation of failing to disclose the data of the ultimate beneficial owner, or the violation of failing to submit the annual confirmation of such data for the first time, must be warned and given a period of 30 days starting from the day following the warning to correct it.

Second

In the event that the violation is not rectified within the period stipulated in paragraph First, a direct punishment must be imposed on each company that has not complied with the disclosure of the data of the ultimate beneficial owner or has not submitted the annual confirmation of the data of the ultimate beneficial owner within the period prescribed in accordance with the Rules of the Ultimate Beneficial Owner. The fine must be in accordance with the following:

Third

In the event that the violation of non-submission of the annual confirmation of the data of the ultimate beneficial owner is repeated during the period prescribed for the year following the previous violation decision that is considered final, the fine prescribed for the previous violation must be doubled, provided that the total fine does not exceed an amount of 500,000 Saudi Riyal.

Fourth

The mechanism for notifying the direct punishment decision must be in accordance with the mechanism stipulated in article 94 of the Executive Regulation of the Companies Law.

Fifth

This decision must be published in the official gazette, and comes into force on the date of its publication.

Article 9 of the Regulation of National and Sectoral Committees in the Chambers of Commerce is hereby amended as follows:

The term of the national committees is three years starting from the date of their formation and ending at the end of their term or by a decision by the board of directors of the federation in accordance with article 20(c) of the regulation.

and based on Council of Ministers Decision 161 dated 25 Safar 1447 [19 August 2025], which includes the requirement of the Ministry of Commerce to coordinate with the Ministry of Investment, the Ministry of Industry and Mineral Resources, and the Council of the Federation of Saudi Chambers of Commerce to amend article 10 of the Executive Regulation of the Law of Chambers of Commerce so that the number of members of the board of directors of the chambers of commerce does not exceed 12 members, and their number is not less than 6 members according to the number of participants in each chamber,

and in pursuance of public interest,

hereby decides

First

Article 10 of the Executive Regulation of the Law of Chamber of Commerce is hereby amended to read as follows:

The minister shall determine the number of members of the boards of directors of the chambers according to the number of participants in each chamber, in accordance with the following:

(a) Six members for a chamber with a number of participants from 1 to 50,000.

(b) Nine members for a chamber with a number of participants from 50,001 to 100,000.

(c) 12 members for a chamber with a number of participants exceeding 100,000.

The minister may, in the event that the election of half of the members of the board of directors is approved—based on article 9(1) of the law—amend the number of members of the board of directors of the chamber stipulated in this article.

Second

This decision must be published in the official gazette, and comes into force on the date of its publication, and applies to the formation of the boards of directors of the chambers of commerce after the date of its publication.

The amendment of the Executive Regulation of the Precious Metals and Gemstones Law issued by Ministerial Decision 5111 dated 6 Safar 1440 [22 October 2018] is hereby approved to become in the form attached to this decision.

Second

As an exception to the provisions of article 3 of the regulation, it is permitted—for a period of six months—to display and sell manufactured or imported works before the date of entry into force of the law in which there is a deficiency not exceeding four parts per thousand in the percentage of pure precious metal in gold, silver, and platinum works.
