Capital Market Authority: Decision 1-94-2025 Adopting the Amended Rules on the Offer of Securities and Continuing Obligations, the Amended Rules Governing Special Purpose Entities, and the Amended Glossary of Defined Terms Used in the Regulations and Rules of the Capital Market Authority

The Board of the Capital Market Authority,

based on the Capital Market Law issued by Royal Decree D/30 dated 2 Jumada Al-Thani 1424 [31 July 2003],

hereby decides

(a） The amended Rules on the Offer of Securities and Continuing Obligations, the amended Rules Governing Special Purpose Vehicles, and the amended Glossary of Defined Terms Used in the Regulations and Rules of the Capital Market Authority are hereby approved in accordance with the attached form, and they come into force from the date of their publication.

(b） The Capital Market Institutions Regulation, issued by Board Decision 1-83-2005 dated 21 Jumada Al-Awwal 1426, corresponding to 28 June 2005, as amended by Board Decision 2-57-2025 dated 28 Dhu Al-Qa’dah 1446, corresponding to 26 May 2025, is hereby amended as follows:

First

Article 19(b) of the regulation is amended by adding the following text:

8․ The information technology officer of a capital market institution licensed to practice arranging activities in the context of its practice of securities crowdfunding activities.

It enters into force from the date of its publication.

Second

Article 69(d) of the regulation is hereby amended to read as follows:

(d） As an exception to the provisions of paragraph (c) of this article, a capital market institution licensed to practice arranging activities may, in accordance with the provisions of this part, hold client funds that it receives in the context of conducting securities crowdfunding activities, provided that it meets the following additional requirements:

1․ The client funds held must not exceed 80,000,000 Saudi Riyal.

2․ The retained funds of a retail client must not exceed 100,000 Saudi Riyal.

It enters into force from the date of its publication.

(c） The content of paragraphs (a) and (b) of this decision must be announced on the websites of the authority and the Saudi Tadawul Company.

The Minister of Culture,

based on the powers entrusted to him by law,

based on article 6(8) of the Statutes of Cultural Authorities approved by Council of Ministers Decision 1012 dated 27 Dhu Al-Qa’dah 1445 [4 June 2024],

after perusal of the Board of Directors of the Architecture and Design Commission Decision D-8-T/25 (CAD), the Board of Directors of the Visual Arts Commission Decision D-2-T/25 (CVA), the Board of Directors of the Culinary Arts Commission Decision D-1-T/25 (CCA), the Board of Directors of the Music Commission Decision D-01-T/25 (CMU), the Board of Directors of the Film Commission Decision D-3-T/25 (CFI), the Board of Directors of the Literature, Publishing, and Translation Commission Decision D-1-T/25 (LPT), the Board of Directors of the Museums Commission Decision D-1-T/25 (CMUS), the Board of Directors of the Heritage Commission Decision D-1-T/25 (CHER), the Board of Directors of the Fashion Commission Decision D-1-T/25 (CFAS), the Board of Directors of the Libraries Commission Decision D-1-T/25 (CLIB), and the Board of Directors of the Theatre and Performing Arts Commission Decision (Decision 2/2 TPA/2025),

hereby decides

First

The licensing regulations for cultural commissions are hereby approved in the form attached.

Second

This decision repeals any previous decisions in conflict with it, and it must be communicated to those who are required to adopt it, implement it, and act by virtue of it.

Third

The provisions of these regulations come into force after 90 days from the date of their publication in the official gazette.

Ministry of Finance: Decision 233/Insurance Approving the Voluntary Saving Associations Program for Those Covered by the Insurance Laws Administered by the General Organization for Social Insurance

The Minister of Finance,

based on the powers granted to him by law,

after perusal of the Social Insurance Law issued by Royal Decree D/273 dated 26 Dhu Al-Hijja 1445 [2 July 2024],

the executive regulation of the law issued by Minister of Finance Decision 230/Insurance dated 26 Dhu Al-Hijja 1445 [ 2 July 2024],

and Board of Directors of the General Organization for Social Insurance Decision 1508 dated 4 Muharram 1447, corresponding to 29 June 2025, regarding the approval of the program of voluntary savings associations for those covered by the insurance systems managed by the General Organization for Social Insurance,

hereby decides

First

The program of voluntary savings associations for those covered by the insurance systems managed by the General Organization for Social Insurance is hereby approved.

Second

The Governor of the General Organization for Social Insurance shall set the conditions, provisions, and procedures necessary for subscription in any of the associations mentioned in clause First of this decision, taking into account that those conditions and provisions include the following:

1․ Determining the mechanism and deadline for applying to subscribe in any of these associations.

2․ Determining the deadline for paying the monthly subscription amount in any of these associations.

3․ Determining the percentage of subscription in any of these associations, not exceeding 25% (twenty-five percent) per month of the monthly income of the subscriber.
