First
Definitions
The following terms and phrases have the meanings assigned to each of them:
1․ Agency: Any agency established by a decision of the Council of Ministers—or by a higher legal instrument—regardless of its capacity or name (an authority, public establishment, center, program, national committee, public benefit agency, or otherwise), and enjoy financial and administrative independence. This does not include agencies of a temporary nature.
2․ System: A legal document that includes the provisions governing the work of an agency and its mandates, regardless of its name (system, organizational arrangements, or otherwise).
3․ Board: The board of directors of an agency, regardless of its name (board of directors, supervisory committee, or management authority, or otherwise).
Second
Agencies are treated differently in relation to the remuneration of board members and its committees, in terms of:
1․ The extent to which the system of the agency explicitly states that it operates according to commercial principles and standards, or that it relies—wholly or partly—on its own resources.
2․ The employment level of the chairman of the board (Deputy Prime Minister, minister, those of the rank of minister or excellent rank, or others).
Third
It is permitted to differentiate between the remuneration of the chairman and deputy chairman of the board on one hand, and the remuneration of the remaining members on the other hand.
Fourth
The amount of the remuneration must be sufficient to attract members, especially those with expertise and competence or those representing the private sector by considering the value of their expertise in the market.
Fifth
The amount of the remuneration must be calculated in accordance with one of the following methods:
1․ A specific amount for a meeting, while setting a maximum limit for the amount of the annual remuneration.
2․ An annual lump sum.
3․ Combining the two criteria mentioned in paragraphs 1 and 2 of this clause.
Sixth
If the system stipulates the authority of the chairman of the board to delegate a member to chair board meetings, this member must be granted the remuneration of the chairman for the meetings he attended on his behalf, and this is in the event that the remuneration is determined in accordance with the criterion referred to in clause Fifth(1) of these controls.
Seventh
The maximum total remuneration that each member receives for his membership in the board and its committees must be an amount of 350,000 (three hundred and fifty thousand) Riyals annually.
Eighth
A member of the board and its committees—who are not employees—coming from outside the city of the meeting must be granted the value of a roundtrip airfare ticket for the travel class that those occupying the fifteenth rank are entitled to. As for members whose membership is by virtue of their jobs, they must be treated in this regard in accordance with the employment laws and regulations applicable to them.
Ninth
1․ A remuneration committee must be formed in each agency, and its tasks must include the following:
(a) Proposing the amount of remuneration for board members, in accordance with the provisions of these controls, provided that the chairman of the board submits these proposals—within a period of no less than 60 days from the date specified for their implementation—to the committee stipulated in clause Tenth of these controls.
(b) Proposing the amount of remuneration for members of board committees—based on a request from the board—and submitting it to the board for consideration and approval.
2․ The formation of the remuneration committee in each of the existing agencies must be by a decision of its board of directors. As for the agencies that are established after the issuance of these controls, the formation of the first remuneration committee in each of them must be by a decision of the chairman of the board.
Tenth
A remuneration committee must be formed in the Council of Economic and Development Affairs, which shall consider—in each case separately—the proposals submitted by the remuneration committee in the agency that are submitted to it in accordance with clause Ninth(1)(a) of these controls, and shall apply these controls to them. This committee may—within the period specified in clause Ninth(1)(a)—express the matters it deems appropriate regarding these proposals.
Eleventh
The remuneration of board members and its committees must be paid from the budget of the entity in which the board was formed.
Twelfth
The authority shall include in its annual reports the amount of the remuneration granted to each board member and its committees, and the total value of the amount of remunerations granted—during the reporting year—based on these controls.
Thirteenth
These controls replace Council of Ministers Decision 363 dated 7 Sha’ban 1436 [25 May 2015].
